Abstract. The modern development of capital markets in Ukraine is accompanied by an active search for new approaches to the organization of internal control systems among professional market participants. In the context of business process digitalization and increasing regulatory requirements, there is a growing need to adapt traditional management models to new realities. The issue of combining formal regulatory requirements with the real needs of the digital business environment is of particular relevance, which necessitates a comprehensive scientific analysis. The purpose of the study is to identify the prospects for the development of internal control systems of professional participants in the Ukrainian capital markets, taking into account the transformational processes of the digital economy, the strengthening of regulatory requirements, and the need to ensure effective interaction of three key elements - risk management, compliance, and internal audit. The research methods include an analysis of current Ukrainian legislation, a comparative review of international practices in organizing internal control systems, as well as the generalization of scientific approaches to assessing the effectiveness of risk management, compliance, and internal audit in the activities of professional capital market participants. The use of an interdisciplinary approach has made it possible to integrate legal, managerial, and technological aspects of the studied problem. Research results have shown that the effective development of the internal control system requires the implementation of innovative digital tools that reduce the cost of regulatory compliance, improve data processing quality, and automate monitoring procedures. At the same time, a crucial role is played by the integration of internal audit, risk management, and compliance functions into a single coordinated system. The study demonstrated that the introduction of electronic platforms for remote management of internal control processes can significantly increase the transparency of enterprises and strengthen trust from regulators and market participants. An important outcome is also the substantiation of the need to establish internal standards of ethical conduct and to enhance the role of corporate culture as an intangible resource that ensures the sustainable effectiveness of technological solutions. Conclusions indicate that the development of internal control systems among professional participants in Ukraine’s capital markets should proceed in the direction of integrating digital tools with institutional governance elements, fostering a culture of responsibility, and strengthening interaction with regulatory bodies. In the long term, this will not only optimize costs and improve the efficiency of internal control but also enhance the competitiveness of Ukrainian financial institutions in the global environment.Downloads
